Internet Brands is currently seeking an Assistant General Counsel to provide a broad range of hands-on legal services in all aspects of the company's business, in particular, mergers and acquisitions, intellectual property licensing, contracts and corporate governance. The position will report directly to the EVP-Corporate Development, General Counsel and will manage a small internal legal team as well as outside counsel.

Key elements of the position:
- Manage and document M&A deals in-house, interacting with senior management , business units and other constituents.
- Draft and negotiate a variety of complex agreements.
- Collaborate with business leaders to provide practical advice and effective business and legal solutions.
- Hands-on role: conduct research, review, analysis of legal risks, drafting and approval of various documents, contracts, policies, procedures.

Qualifications:
- Min. 5 years transactional /M&A experience at large or mid-size firm required.
- Degree from accredited U.S. law school.
- Membership with State Bar of California.
- Strong subject matter expertise in multiple legal areas, including intellectual property, complex commercial agreements, corporate governance, compliance and broad based transactional experience.
- Experience with federal  and state securities laws helpful.
- Experience advising internet and software companies a plus.
- Excellent business judgment, project management, communication and interpersonal skills that result in the ability to work effectively and efficiently with executive management.
- Ability to assist in strategies for bottom-line results
- Strong work ethic and a passion for the business.
- Highly focused, with multi-tasking skills.
- Superior analytic and writing skills.
